This Terms of Service agreement is between you and Neibo Technologies Inc. (hereinafter referred to as "the App" or "the Service"). By using the App, you agree to be bound by these terms in their entirety. These Terms, together with our Privacy Policy, constitute the entire agreement between you and the App regarding your use of the Service.
The App is a digital platform that facilitates connections between volunteer seekers ("Volunteers") and opportunity hosts ("Hosts"). The Service is not an employer, staffing agency, or placement service of any kind. The App does not employ, supervise, direct, or control any Volunteer or Host. Nothing in your use of the Service creates any employment, agency, partnership, or joint venture relationship between you and the App or between you and any other user.
The App does not conduct criminal record checks, reference checks, identity verification, or any other form of screening on any user, Volunteer, or Host. You acknowledge that the Service has no obligation to perform such checks and that you are solely responsible for conducting your own due diligence, vetting, and safety assessments before participating in or hosting any volunteer opportunity. You also self-declare that you do not have a criminal history that would prevent you from participating in volunteer activities, and you understand that Neibo Technologies Inc. does not conduct background checks. Some Hosts may request verification separately, and you agree to comply with any lawful request made by a Host or organizer in connection with a specific opportunity.
You acknowledge and agree that volunteer activities may involve physical risk, including but not limited to personal injury, illness, property damage, or other harm. By using the Service, you voluntarily assume all such risks. To the fullest extent permitted by applicable law, you hereby release, discharge, and hold harmless the App, its founders, directors, officers, employees, contractors, agents, and representatives from any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to your participation in any volunteer opportunity found through or facilitated by the Service, including claims arising from the negligence of the App or its representatives.
The App collects, stores, and processes personal information ("PII") including your name, email address, profile information, and activity data. This data is stored and processed on servers operated by Amazon Web Services (AWS) located in the United States of America. By creating an account and using the Service, you expressly consent to the transfer, storage, and processing of your personal information to and within the United States, which may have different data protection laws than Canada. The App handles your data in accordance with applicable Canadian privacy legislation, including PIPEDA. You may request access to, correction of, or deletion of your personal data by contacting us. Our Privacy Policy sets out further detail regarding our collection, use, and disclosure of personal information.
You agree to use the Service only for lawful purposes and in a manner consistent with all applicable laws and regulations. You are solely responsible for your interactions with other users. The App reserves the right to suspend or terminate your account at any time for violation of these terms or for any conduct that the Service, in its sole discretion, deems harmful to the platform or its community.
The App may, at its sole discretion, now or in future versions of the Service, offer, facilitate, or operate a marketplace, storefront, or promotional channel through which goods, products, or services ("Commercial Offerings") are made available to users. The App expressly reserves the right to earn revenue from Commercial Offerings, including by charging a commission, markup, referral fee, or any other lawful form of compensation on sales made through or facilitated by the Service. Users are not entitled to any portion of such revenues. Participation in any Commercial Offering is entirely voluntary. All sales through the Service are subject to any additional terms of sale presented at the time of purchase.
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account. You may not create more than one account for yourself or create an account on behalf of another person without authorization. You must be at least 13 years of age and located in Canada to create an account and use the Service. You self-declare that you do not have a criminal history that would prevent you from participating in volunteer activities, and you understand that Neibo Technologies Inc. does not conduct background checks. Some Hosts may request verification separately, and you agree to comply with any lawful request made by a Host or organizer in connection with a specific opportunity. Users between 13 and the age of majority in their province of residence represent that they have obtained the consent of a parent or legal guardian to use the Service where required.
The Service allows you to submit content, including opportunity listings, photos, profile information, messages, and other materials ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant the App a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content solely for the purpose of operating and providing the Service. You represent and warrant that you own or have the necessary rights to submit your User Content and that it does not infringe the intellectual property or other rights of any third party. The App may, in its sole discretion, review, moderate, or remove any User Content that violates these Terms or our community guidelines, including through the automated review process described in our Privacy Policy.
Certain Host features are offered through paid subscription plans. Payments for paid plans are processed by Stripe, a third party payment processor, and are subject to Stripe's own terms of service. The App does not collect or store your full payment card number. Paid subscriptions renew automatically on a recurring basis until cancelled by you. Fees are non-refundable except where expressly stated otherwise or where required by applicable law. The App reserves the right to change its fees or introduce new fees at any time, with reasonable notice to affected users prior to the change taking effect.
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The App does not warrant that the Service will be uninterrupted, timely, secure, or error free, or that any volunteer opportunity, Host, or Volunteer meets any particular standard of quality, safety, or legality. You use the Service at your own risk.
To the fullest extent permitted by applicable law, in no event shall the App, its founders, directors, officers, employees, contractors, agents, or representatives be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of, or inability to use, the Service. To the fullest extent permitted by applicable law, the aggregate liability of the App for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of one hundred Canadian dollars (CAD $100) or the total amount, if any, paid by you to the App in the twelve months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless the App, its founders, directors, officers, employees, contractors, agents, and representatives from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your interactions with, or participation in any volunteer opportunity involving, any other user.
You may stop using the Service and delete your account at any time. The App may suspend or terminate your account or access to the Service, with or without notice, for any violation of these Terms or for any conduct that the App, in its sole discretion, considers harmful to the Service or its community, or for any other reason. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination, including but not limited to Sections 2, 3, 4, 8, 10, 11, 12, and 14, shall survive any termination of your account or these Terms.
These Terms, and any dispute arising out of or relating to these Terms or the Service, shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Subject to applicable consumer protection legislation, you and the App agree to submit to the exclusive jurisdiction of the courts located in the judicial district of Montreal, Quebec, Canada, for the resolution of any dispute.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision. You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent; the App may assign these Terms without restriction.
The App reserves the right to modify these Terms at any time. Continued use of the Service after any such changes constitutes your acceptance of the new Terms. We will make reasonable efforts to notify users of material changes.
